1. Definitions

  • "Platform" / "Service": the DPP Central software-as-a-service for creating and managing Digital Product Passports.
  • "We" / "Provider": the operator of the Platform. The DPP Central platform is operated by AGROBOX SMART FARMING PRIVATE COMPANY (trading as "AGROBOX P.C."), VAT: EL802216797, General Commercial Registry (GEMI) No: 172315444000, EUID: ELGEMI.172315444000, with registered offices at Anthimou Gazi 92A, 383 33 Volos, Greece. The company is certified to ISO/IEC 27001:2022 (certificate no. 340440745-IS, certification body NBIS — accredited by ESYD, accreditation no. 1431). Contact: [email protected]. "DPP Central" is the name of the platform/service (a trademark), not a separate legal entity.
  • "Customer": the organization (legal entity or natural person acting in the course of business) that creates an organization account on the Platform.
  • "User": any natural person accessing the Platform through a Customer account (team members, invited suppliers).
  • "Customer Data": any content the Customer or its Users enter into the Platform (product data, documents, images, supplier details, passport content).
  • "Passport" / "DPP": a digital product-information page created through the Platform, which can be made publicly accessible via a QR code or link.

2. Acceptance of the terms

By creating an account or using the Platform you accept these Terms of Service and represent that you act in the course of a business/professional activity (B2B service). If you accept on behalf of an organization, you represent that you have authority to bind it. Use of the Platform is also subject to our Privacy Policy.

3. Accounts and security

  • You must provide accurate registration details and keep them up to date.
  • You are responsible for safeguarding your credentials (passwords, API keys) and for all activity carried out through your account. We strongly recommend enabling two-factor authentication (2FA).
  • You must notify us promptly if you become aware of unauthorized use of your account.
  • The Customer is responsible for the acts and omissions of the Users it invites to its organization.
  • Google Sign-In: You may optionally register or sign in using your Google account. By choosing "Continue with Google" you accept these Terms of Use and the Privacy Policy and authorize the Platform to receive from Google your basic profile data (name, email, Google account ID, profile picture) solely for authentication purposes — see section 3.1 of the Privacy Policy. Use of your Google account is additionally governed by Google's terms and policies. You remain responsible for the security of your Google account.

4. Subscriptions, trial and payments

  • Plans: The Service is offered in four subscription plans (Starter, Professional, Business, Enterprise) with the features and limits described on the pricing page. The Enterprise plan is available under an individual agreement.
  • Free trial: New accounts receive a free 14-day trial. When it ends, an active subscription is required for continued full functionality; no automatic charge occurs without an explicit subscription to a plan.
  • Renewal: Subscriptions renew automatically monthly or yearly, depending on your selection, until cancelled.
  • Cancellation: You may cancel at any time from the billing settings. Cancellation takes effect at the end of the current billing period; until then you retain full access.
  • Price changes: Any price increases are announced at least 30 days before they take effect and apply from the next renewal period. If you disagree, you may cancel before renewal.
  • Refunds: Amounts paid are non-refundable, except where mandatory law provides otherwise.
  • Payments: Payments are processed by third-party providers (Stripe, PayPal, Viva.com). Card details are entered directly with them — we do not store card numbers.
  • Limit overruns: Use beyond the limits of your plan (e.g. number of products, AI extractions) may require a plan upgrade.

5. Acceptable use

You must not use the Platform to:

  • Publish unlawful, misleading or inaccurate content in product passports, including false environmental claims or false declarations of conformity.
  • Infringe third-party rights (intellectual property, trademarks, personal data).
  • Attempt unauthorized access, undermine security, or disrupt the operation of the Platform.
  • Perform automated bulk data extraction (scraping) other than through the provided APIs.
  • Resell the Service without a written agreement with us.

The Customer is solely responsible for the accuracy, completeness and lawfulness of the product data it publishes, and for the compliance of its passports with applicable law (ESPR, product-category regulations, labelling law, etc.). The Platform is a management tool — it does not provide legal advice and does not guarantee regulatory compliance.

In case of serious or repeated violation, we may suspend or terminate access, with prior notice where reasonable.

6. Customer data and ownership

  • Customer Data remains the property of the Customer. We acquire no ownership rights in it.
  • The Customer grants us a non-exclusive, worldwide licence to use Customer Data solely to the extent necessary to operate, maintain, secure and improve the Service and to carry out the Customer's instructions.
  • Personal data contained in Customer Data is processed by us as a processor, in accordance with the Data Processing Agreement (DPA) and our Privacy Policy.
  • The Platform's software, design and trademarks remain our (or our licensors') intellectual property.

7. Public passport pages

Public product-passport pages (and the QR codes leading to them) are published only at the Customer's instruction, via the respective publishing features. The Customer decides which fields are publicly visible and may unpublish at any time. The Customer acknowledges that published content becomes accessible to anyone holding the relevant link or QR code.

8. AI features

The Platform offers AI features (data extraction from documents, translations) based on third-party models (Google Gemini). These features are provided "as is": AI outputs may contain errors or inaccuracies. The Customer must review and verify every AI output before using or publishing it — the corresponding notice is also shown within the application. We are not liable for decisions or publications based on unverified AI outputs.

9. Availability and maintenance

We make all reasonable efforts to keep the Service highly available but do not guarantee uninterrupted (100%) operation. Scheduled maintenance will, where possible, be performed outside peak hours and with prior notice for significant interruptions. Guaranteed-availability commitments (SLA) are offered only in Enterprise plans under a separate agreement.

10. Limitation of liability

To the maximum extent permitted by law: (a) we are not liable for indirect, incidental or consequential damages, loss of profits, data or reputation; (b) our total aggregate liability arising out of or in connection with the Service is limited to the amount of subscription fees paid by the Customer in the 12 months preceding the event giving rise to the claim. These limitations do not apply to wilful misconduct, gross negligence, or liability that cannot be limited by law.

11. Indemnification

The Customer will indemnify and hold us harmless from any third-party claim arising out of: (a) Customer Data and the content of its passports (including claims regarding inaccurate or misleading product claims), (b) violation of these Terms or applicable law by the Customer or its Users.

12. Termination and data export

  • The Customer may terminate at any time (subscription cancellation and/or account-deletion request).
  • We may terminate or suspend the Service for a material breach of the Terms that is not remedied within a reasonable period after notice, or immediately in cases of serious abuse or security risk.
  • After termination, the Customer has 30 days to export Customer Data (via the Platform's export features or upon request). After that period the data is deleted, subject to statutory retention obligations.

13. Modifications of the terms

We may modify these Terms. For material modifications we will notify Customers at least 30 days before they take effect (by email or in-Platform notification). Continued use after the effective date constitutes acceptance. If you disagree, you may terminate before the effective date.

14. Governing law and jurisdiction

These Terms are governed by Greek law. The courts of Thessaloniki, Greece shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to mandatory provisions establishing a different forum.

EU consumer-rights reservation: The Service is intended for businesses. If you nevertheless use it as a consumer within the meaning of EU law, nothing in these Terms limits mandatory rights granted to you by the consumer-protection law of your country of residence.

15. Miscellaneous

  • If any provision is held invalid, the remaining provisions remain in force.
  • Failure to exercise a right does not constitute a waiver of it.
  • The Customer may not assign the agreement without our written consent; we may assign it to a successor entity (e.g. corporate restructuring) with notice.
  • These Terms, together with the Privacy Policy, the Cookie Policy and any DPA/Enterprise agreement, constitute the entire agreement of the parties regarding the Service.

In case of any discrepancy between the Greek and the English version of this document, the English version prevails.
